1. General Provisions

This Agreement constitutes the entire legal contract between you ("the User," "you") and BaloTrade Global LTD, a company duly incorporated under the laws of the Federal Republic of Nigeria, with registration number [Insert Company Registration Number], and its registered office located at 6 Equtu quaters Street, Along Imaka Road, Ijebu Ode, Ogun State, Nigeria.. This Agreement governs your use of the GoBuyIt website, mobile applications, and all associated services (collectively, the "Platform"). By accessing, browsing, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you are strictly prohibited from using the Platform.

2. Nature of the Platform

GoBuyIt is an online classifieds platform that acts as a venue for users to post advertisements and communicate with one another. It is a digital space where independent sellers and buyers can connect. BaloTrade Global LTD is not a party to any transaction between users, nor is it a licensed broker, dealer, or financial service provider. We do not inspect, verify, or guarantee the quality, safety, or legality of any products or services listed on the Platform. All transactions are at the sole risk of the parties involved.

3. User Accounts and Eligibility

  • Eligibility: To register for and use a GoBuyIt account, you must be a legal person or a business entity with the capacity to enter into a binding contract under Nigerian law and be at least eighteen (18) years of age. By creating an account, you represent and warrant that you meet these criteria.

  • Account Information: You agree to provide accurate, complete, and current information during registration and to update this information promptly. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • Account Termination: GoBuyIt reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including, but not limited to, a violation of these Terms, non-compliance with applicable Nigerian laws, or engaging in activities that may harm the Platform or its users.

4. User Content and Prohibited Activities

  • User Content: You are solely responsible for all content, including text, images, videos, and other materials that you post, upload, or transmit on the Platform ("User Content"). You warrant that you own or have the necessary licenses and rights to use and distribute all User Content.

  • Intellectual Property License: By posting User Content on the Platform, you grant GoBuyIt a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media now known or hereafter developed, for the purpose of operating and promoting the Platform.

  • Prohibited Content and Activities: You agree not to post, transmit, or otherwise make available any User Content that:

    • Is false, fraudulent, misleading, or deceptive.

    • Is defamatory, harassing, or threatening.

    • Infringes upon the intellectual property rights of any third party.

    • Is obscene, pornographic, or contains any form of hate speech.

    • Advertises or facilitates the sale of illegal goods or services, including but not limited to, firearms, explosives, illegal narcotics, or stolen property, in violation of Nigerian law.

    • Violates the Cybercrimes (Prohibition, Prevention, etc.) Act, 2015, the Child's Rights Act, 2003, or any other applicable Nigerian legislation.

    • Contains any virus, malware, or other malicious code.

5. Intellectual Property Rights of BaloTrade Global LTD

The Platform and its original content, including all software, text, graphics, logos, and trademarks, are the exclusive property of BaloTrade Global LTD and are protected by Nigerian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Platform without our express written consent.

6. Data Protection and Privacy

We are committed to protecting your personal data in accordance with the Nigeria Data Protection Act (NDPA) 2023. Our collection, use, and disclosure of your personal information are governed by our separate Privacy Policy, which is incorporated by reference into these Terms of Service. By using the Platform, you consent to our data processing practices as described in the Privacy Policy.

7. Disclaimers and Limitation of Liability

  • "As Is" Basis: The Platform is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  • No Warranty on User Content: We make no warranty or representation regarding the accuracy, reliability, or completeness of any User Content. You agree that any reliance on such content is at your own risk.

  • Limitation of Liability: To the maximum extent permitted by Nigerian law, BaloTrade Global LTD, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, goodwill, or business interruption, arising from or in connection with:

    • Your use of or inability to use the Platform.

    • Any unauthorized access to or use of our servers and/or any personal information stored therein.

    • Any bugs, viruses, or malicious code that may be transmitted through the Platform by any third party.

    • Any disputes or transactions between you and other users.

8. Indemnification

You agree to indemnify, defend, and hold harmless BaloTrade Global LTD and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any third party's rights.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

  • Dispute Resolution Process:

    • Negotiation: The parties shall first attempt to resolve any dispute, difference, or controversy arising from or relating to this Agreement through good faith negotiations.

    • Mediation: If the dispute is not resolved through negotiation within thirty (30) days of a written notice, the parties agree to submit the dispute to mediation under the rules of the Chartered Institute of Arbitrators (Nigeria Branch), or such other mediator as the parties may mutually agree upon.

    • Arbitration: If mediation fails, the dispute shall be referred to and finally settled by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004. The arbitration shall be conducted by a single arbitrator appointed by mutual agreement or, failing that, by the President of the Chartered Institute of Arbitrators (Nigeria Branch). The place of arbitration shall be Ogun State, Nigeria, and the language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.

  • Condition Precedent: The dispute resolution steps of negotiation, mediation, and arbitration are a condition precedent to the initiation of any court action, except for seeking injunctive relief or other remedies to protect intellectual property rights.

10. Miscellaneous

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be deemed severed from the Agreement, and the remaining provisions shall remain in full force and effect.

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and GoBuyIt regarding your use of the Platform and supersede all prior or contemporaneous agreements and communications.

  • Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

By using the GoBuyIt Platform, you acknowledge that you have read and understood these Terms of Service and agree to be bound by them.
